How to choose a corporate name

A distinctive term sets your name apart from the name of other businesses offering similar goods or services. A distinctive term is the most crucial part of your name.

A descriptive term explains the nature of your company's business.

For example, “Roger's Coffee Shop” has “Roger's” as its distinctive term and “Coffee Shop” as the descriptive term.

Identical names but with different legal elements (see below) are not sufficiently distinctive – each option requires different distinctive and descriptive terms.

(Authorized Capital — the types and classes of shares your corporation is allowed to issue. You're not committing to issuing them all — just giving yourself options for the future. Changes later require a 2/3 shareholder resolution and a government filing.)
